Board Meeting

October 21, 2009

 
 

Present:  Peggy James, Cynthia Nelson, Tania Nezrick, Ruth Peterson, Mary Helen Polensky, Patty Ruback.

 

Absent:  Donna Ilsley-Jones, Leo Kurylo

 

The meeting was called to order by Nezrick at 7:10 pm.  She indicated that Donna is no longer available for board meetings in the evenings.  She will discuss the dilemma with her.

 

Manager’s Report

 

James reported that the third quarter was not a good one.  Her summary line says that

 

“At the end of the 3rd quarter 2009, Duck Soup had Gross Margin that was lower than that budgeted by $10,303.00.  Expenses were $5024.74 less than budgeted and total other Income was $3191.66 greater than budgeted.  Nevertheless, the year to date loss @ 9/30/09 was $1833.08 more than budgeted.”

 

The sales have been up in September and the cash flow is still all right but really has been maintained by selling off excess inventory.  Thanks to our assistant manager, Loreen Stravers, there has been no noticeable gap on the shelves; however there will probably be a loss for the year.  It would be quite difficult to make up the difference from budget by the end of the year.

 

The issue of pursuing the purchase of a building was discussed.  Some consensus was reached that this could only be pursued with a strong financial base.  The question was asked, “Are there people who would be willing to give time and money to make such a purchase and move feasible?”  Further exploration will take place.

 

The issue of becoming more integrated into the merchant community was raised.  The immediate question was “Should we join the Chamber of Commerce?” 

 

The General Member Meeting (GMM) will be November 8 at 5 pm.  There will be finger foods and beverages available.  Notices must be in hand one week before the meeting.  The two topics immediately above will be discussed.  They will be discussed on two levels – 1.  Philosophical – Is this something that coincides with our vision and do we want to move in this direction?

             2.  Practical - Is this feasible and will it result in something that is good for DSC?

 

Polensky will email board members the proposed by-laws changes that must be included in the GMM notice.  Comments should be made immediately via email.

 

Beginning November 1, Sunny Day Bakery will begin providing muffins, cookies and fresh sandwiches again on consignment.  DSC will provide hot soup as well on November 1 so people can drop by to purchase lunch.

 

The next meeting of the board will be at 4 pm on November 8, immediately prior to the GMM.
